Master Service Agreement • Effective January 1, 2026

This Master Service Agreement ("Agreement") governs all services between TreeShop LLC ("Contractor") and the client identified in the project proposal or work order ("Client"). TreeShop LLC operates with large-frame CAT Compact Track Loaders and 20-ton CAT excavators. Subcontractors may be engaged at Contractor's discretion; Contractor remains responsible for their work. All rates are non-negotiable and apply uniformly.

1. Scope of Services

TreeShop LLC provides the following vegetation-management and site-development services. Each service is priced per Section 2 and detailed in the applicable work order.

Land Clearing Tree removal, stump/root extraction, build-ready lot prep
Stump Grinding Below-grade stump removal via specialized grinding attachments
Land Maintenance Regrowth control for existing clients (quarterly/semi-annual/annual)
Fuel Reduction Wildfire risk reduction and defensible-space creation
Finish & Grade Tilling, grading, leveling, and final site prep
Land Reclamation Overgrown property restoration and invasive removal
Debris Hauling Off-site removal of logs, stumps, brush, and root balls
Brush Hog / Heavy Mowing Rotary mowing for overgrown fields, pastures, and grassy lots
Grading & Excavation Drainage swales, retention areas, foundation prep, earth moving
Invasive Species Removal Targeted removal of Brazilian pepper, melaleuca, and other invasives
Commercial / Government GPS-precise infrastructure work. SAM.gov registered.

2. Rates & Pricing

TreeShop Standard Setup $2,850/day CAT CTL + any high-flow attachment + daily overhead. Operator labor billed separately.
Land Clearing Setup $5,000/day Excavator + CTL + overhead. Drops to $2,850/day when excavator work completes.
Skilled Labor $165/hr Production hours only. Operators, groundworkers, supervisors.
Stump Grinding $450/hr $450 minimum per visit. Grinding below grade for build-ready or landscape-ready sites.
Debris Hauling — Dump Trailer $450/load Standard dump-trailer load. No guarantees on exact volume; estimates provided.
Debris Hauling — Grapple Truck $850/load Grapple-truck load for larger debris. Actual volume may vary.
Transport Pass-through Billed at cost. Budget estimates included in all quotes. Class A CDL.

Volume Discounts (equipment rates only): 15% off for 5+ consecutive days; 25% off for 22+ consecutive days. Forfeited if interrupted by Client.

Rates may be updated annually with 30 days' notice. Changes do not apply to contracted projects with deposits paid.

3. Payment Terms

25% deposit before commencement → 25% before hauling (if applicable) → balance due on completion before demobilization. Payment via check, ACH, or credit card (+3% fee). Late invoices (14+ days): 1.5%/month. Work suspended after 7 days non-payment. Client responsible for all collection costs.

4. Project Management

All operations managed through Jobber — scheduling, work orders, invoicing, and client portal. All projects begin with a detailed work order. All clients must sign this MSA before project commencement. Primary contact: Jobber, email, or phone. Response within one business day.

5. Equipment & Insurance

CAT equipment: large-frame CTLs with high-flow hydraulics, 20-ton excavators, and professional-grade attachments. Subcontractors may be engaged at Contractor's discretion; Contractor remains responsible for quality and compliance. Insurance: General Liability $1M/$2M aggregate, Auto Liability, Workers' Comp, and Equipment Coverage. COI available on request.

6. Working Hours

Standard work hours are 7:00 AM – 4:00 PM, Monday through Saturday, with 8 billable hours per day. Work outside these hours requires prior written agreement and may incur additional charges.

7–10. Site Access, Utilities, Property Lines & Standby

Site Access: Client provides clear access for heavy equipment. Client removes personal property, discloses hazards, and obtains permits before work begins. Safety perimeter enforced during operations.

Utilities: TreeShop LLC calls in its own Sunshine 811 locates for public utilities. Client remains responsible for identifying all private utilities (septic, wells, electrical, irrigation, gas). TreeShop LLC is not responsible for damage to unmarked or undisclosed private utilities.

Property Lines: Client marks boundaries; professional survey recommended. GPS tracking on all equipment. TreeShop LLC not responsible for boundary disputes if lines unmarked.

Standby: Billed at applicable rate for Client-caused delays (access issues, unmarked utilities, incomplete prep, third-party interference).

11. Vegetative Material, Debris & Open Burning

Mulched material remains on-site unless otherwise agreed. Debris hauling: $450/load (dump trailer) or $850/load (grapple truck) — no guarantees on exact volume. Client may retain material at no charge. All disposal compliant with local regulations.

Open Burning of Debris: If Client elects to burn land clearing debris on-site, Client is solely responsible for compliance with all Florida open burning regulations (FAC 62-256.700, 5I-2.006) including:

  1. Obtaining authorization from the Florida Forest Service (FFS) before any burning
  2. Notifying the local fire authority
  3. Debris was generated on the same premises — no transported material
  4. Burning only between 9:00 AM EST and one hour before sunset
  5. Minimum setbacks: 1,000 ft from any occupied building (other than landowner's), 100 ft from any paved public roadway, wildlands, brush, or combustible structure
  6. Fire attended at all times with extinguishing equipment immediately available
  7. Only vegetative debris and untreated wood — no trash, treated lumber, plastics, or hazardous materials
  8. Favorable moisture/composition to minimize smoke
  9. Compliance with any active county or municipal burn bans

TreeShop LLC does not perform open burning services and assumes no liability for Client-initiated burns. Client indemnifies TreeShop LLC against all claims arising from open burning activities.

12. Weather & Force Majeure

No operations in unsafe conditions. Weather delays are not breach. Rescheduled at earliest availability (no charge unless equipment mobilized on-site). Neither party liable for force majeure events.

13. Cancellation & Rescheduling

7+ days before start: full refund. Within 7 days: deposit forfeited (valid 90 days to reschedule). After mobilization: Client owes all costs + deposit forfeited. TreeShop LLC may cancel for unsafe conditions, non-payment, or breach; unearned deposits refunded minus costs.

14. Scope Changes

Scope changes documented via Jobber change order (description, cost, timeline). Client approval required. Emergency safety changes may proceed with retroactive approval.

15. Termination

For Cause: Either party may terminate for material breach (7-day cure), insolvency, or illegal conduct.

For Convenience: Client may terminate anytime — responsible for completed work, 15% termination fee on remaining value, and non-refundable costs. All invoices due immediately upon termination.

16. Dispute Resolution

Good faith negotiation → mediation in Volusia County (shared cost) → binding arbitration under AAA Construction Industry Rules. Prevailing party recovers attorney's fees. Exclusive venue: Volusia County, FL. Work and payments continue during proceedings.

17. Florida Construction Lien Law

TreeShop LLC retains all rights under Chapter 713, Florida Statutes. Proper Notice to Owner served as required. Final lien waiver provided upon final payment.

Statutory Notice

According to Florida's Construction Lien Law (Sections 713.001–713.37, Florida Statutes), those who work on your property or provide materials and services and are not paid in full have a right to enforce their claim for payment against your property. This claim is known as a construction lien. If your contractor fails to pay subcontractors or material suppliers, those owed money may look to your property for payment, even if you have already paid your contractor. If you fail to pay your contractor, your contractor may also have a lien on your property, which could result in your property being sold to satisfy the lien.

18. Photo & Video Rights

Client grants TreeShop LLC a non-exclusive, royalty-free, perpetual license to capture and use photographs and video of the project site (before, during, and after work) for marketing, portfolio, social media, and promotional purposes. No compensation is due to Client for such use. Client may revoke this license for future use by providing written notice; revocation does not apply to materials already published or distributed.

19. Warranty

TreeShop LLC provides a 30-day workmanship warranty from the date of project completion. During this period, Contractor will return to correct any deficiencies in workmanship at no additional cost. This warranty covers the quality of work performed and does not cover natural regrowth, acts of nature, damage caused by third parties, or conditions outside Contractor's control.

20. General Provisions

Governed by Florida law. Exclusive venue: Volusia County. This MSA + exhibits + work orders = entire agreement. Amendments by written agreement only. Severability applies. Non-waiver. Client may not assign without consent; TreeShop LLC may assign/subcontract. TreeShop LLC is an independent contractor. All notices in writing. Payment, indemnification, disputes, and lien rights survive termination.
